英文版买卖合同contractno.：thebuyers：thesellers：thiscontractismadebyandbetweenthebuyersandthesellers;wherebythebuyersagreetobuyandthesellersagreetoselltheunder-mentionedgoodssubjecttothetermsandconditionsasstipulatedhereinafter：(1)nameofcommodity：(2)quantity：(3)unitprice：(4)totalvalue：(5)packing：(6)countryoforigin：(7)termsofpayment：(8)insurance：(9)timeofshipment：(10)portoflading：(11)portofdestination：(12)claims：within45daysafterthearrivalofthegoodsatthedestination，shouldthequality，specificationsorquantitybefoundnotinconformitywiththestipulationsofthecontractexceptthoseclaimsforwhichtheinsurancecompanyortheownersofthevesselareliable，thebuyersshall，havetherightonthestrengthoftheinspectioncertificateissuedbythec.c.i.candtherelativedocumentstoclaimforcompensationtothesellers(13)forcemajeure：thesellersshallnotbeheldresponsibleforthedelayinshipmentornon-deli-veryofthegoodsduetoforcemajeure，whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.thesellersshalladvisethebuyersimmediatelyoftheoccurrencementionedabovethewithinfourteendaysthereafter.thesellersshallsendbyairmailtothebuyersfortheiracceptanceacertificateoftheaccident.undersuchcircumstancesthesellers，however，arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.(14)arbitration：alldisputesinconnectionwiththeexecutionofthiscontractshallbesettledfriendlythroughnegotiation.incasenosettlementcanbereached，thecasethenmaybesubmittedforarbitrationtothearbitrationcommissionofthechinacouncilforthepromotionofinternationaltradeinaccordancewiththeprovisionalrulesofprocedurepromulgatedbythesaidarbitrationcommission.thearbitrationcommitteeshallbefinalandbindinguponbothparties.andthearbitrationfeeshallbebornebythelosingparties.(thebuyers)(thesellers)
