独家经销协议（英文）APPOINTMENTOFEXCLUSIVEDISTRIBUTORAGREEMENTDated08thJanuary20021Parties(1)(nameofprincipal)whoseregisteredofficeisinthePRofChinaattheaddress….('thePrincipal')(2)(nameofprincipal’sagent)whoseregisteredofficeinthePRofChinaattheaddress….('thePrincipal’sagent')2Recitals2.1ThePrincipalmanufacturesgoodsincludingtheProducts2.2ThePrincipal’sagenttradeswiththeProductsofthePrincipal2.3TheDistributorwishestoselltheProductsintheTerritory3DefinitionsThefollowingtermsshallhavethefollowingmeanings:3.1'Business':thepromotionandsaleoftheProductsbytheDistributorandallmattersrelated3.2'CommencementDate':thedatesetoutattheheadofthisAgreement3.3'Conditions':theprovisionscontainedinclauses[5]to[9]whichshallbeincorporatedintothisAgreementintheirentirety3.4'Consignment':eachshipmentofProductsmadebythePrincipaland/orthePrincipal’sagentinresponsetoanorderplacedinaccordancewiththetermsofthisAgreementbytheDistributor3.5'Currency':USDollars3.6'Documents':thedocumentswhichmustbepresentedinordertoobtainpaymentundertherespectivesalescontractpursuanttowhichadocumentarycreditisopened3.7'ExpiryDate':within2[two]yearsafterCommencementDateunlessextendedasperclause[5.6]ofthisAgreement3.8TradeName:(insertdetails)3.9'MinimumAnnualPerformance':salesoftheProductsineachyearoftheTerm3.10'Products':theproductsbrieflydescribedinSchedule13.11'Rights':thesoleandexclusiverightoftheDistributortocarryon:3.11.1theBusiness3.11.2fortheTerm3.11.3intheTerritory3.12'Term':theperiodstartingontheCommencementDateandendingontheExpiryDateunlessearlierdeterminedasprovidedinthisAgreement3.13'Territory':theterritoryoftheStateofIsrael4Grantandreservations4.1ThePrincipalgrantstotheDistributortheRights4.2ThePrincipalagreesnottoappointanyotherpersontoactasitsdistributoroftheProductsintheTerritoryduringtheTerm4.3WithoutprejudicetotheremainingprovisionsofthisAgreementthePrincipalreservestherighttovarythePriceoftheProductssubjectcurrentmarketpricesatthetimeofreceivinganorderfromtheDistributorCONDITIONS5Principal'sobligationsThePrincipalagreeswiththeDistributorthroughouttheTerm:5.1SoleandexclusivedistributorNeitheritselfnorthroughanyagentorotherdistributorlawfullyactingforitdirectlyorindirectlytoinfringetheRights5.2SupportandinformationTosupporttheDistributorinitseffortstopromotetheBusinessandsalesoftheProductsandinparticularatitsownexpense5.2.1tosupplytrialsamplesoftheProductsuponrequestfromtheDistributor5.2.2toprovideandpromptlyupdateinformationabouttheProducts5.3IndemnityToindemnifyandkeepindemnifiedtheDistributorfromandagainstanyandalllossdamageorliabilitywhethercriminalorcivilsufferedandlegalfeesandcostsincurredbytheDistributorinthecourseofconductingtheBusinessandresultingfrom:5.3.1anyact,neglectordefaultofthePrincipal,thePrincipal’sagentortheiragents,employees,licenseesorcustomers5.3.2anysuccessfulclaimbyanythirdpartyalleginglibelorslanderinrespectofanymatterarisingfromthesupplyoftheProductsortheconductoftheBusinessintheTerritoryprovidedthatsuchliabilityhasnotbeenincurredbytheDistributorthroughanydefaultincarryingoutthetermsofthisAgreement5.4DeliveryofProductsSubjecttoavailabilitytosupplytotheDistributororthecustomersoftheDistributorintheTerritorytheProductsinaccordancewithordersreceivedfromtheDistributorwhich:5.4.1complyinallrespectswithrelevantgovernmentalorotherregulationsintheTerritory5.4.2areofmerchantablequality5.4.3conformtosampleandspecificationlimits5.4.4areatpricesnotifiedtotheDistributorbythePrincipalonacasetocasebasis5.4.5aredeliveredwithallreasonabledispatchasprovidedinthespecificsalescontract5.5ExtensionofTermToextendtheTermforonefurtherperiodoftwoyearswithoutbreakincontinuityprovidedthattheDistributor:5.5.1hasproperlyobservedandperformeditsobligationsunderthisAgreementthroughouttheTerm5.5.2servesanoticeonthePrincipalrequiringsuchextensionnotlaterthan30daysbeforetheExpiryDate5.5.3acceptsthatthetermsofthisAgreementshallapplytoanyextensionoftheTermunderthisclause5.6ExtensionofTerritory5.6.1TogivetotheDistributornotlessthan60days'writtenpriornoticeofthePrincipal'sintentiontoappointanypersonotherthantheDistributorandofthetermsofsuchappointment:5.6.1.1toselltheProductsorgoodssimilartotheProducts5.6.1.2inanyplacesadjoiningtheperimeteroftheTerritory5.6.2SuchnoticemaybetreatedbytheDistributorasanofferofanequivalentappointmentandbeforeitsexpirytheDistributormaygivewrittennoticetothePrincipalthatitwilltakeupsuchappointmentonsuchterms5.6.3Nottooffertoanyotherpersontermsmorefavourablethanthosecontainedinthenoticewithin90daysoftheexpiryofthenotice5.7ExtensionofProductsToaddtotheProductsthegoodsregularlyproducedbythePrincipaland/ortradedbythePrincipal’sagentprovidedthattheDistributor:5.7.1hasproperlyobservedandperformeditsobligationsunderthisAgreementsofar5.7.2hasachievedtheMinimumAnnualPerformancesofar5.7.3executesanannextothisAgreementinrespectoftheaddition5.8NoassignmentNottoassignthebenefitofthisAgreementwithoutthepriorconsentoftheDistributor6Distributor'sobligationsTheDistributoragreeswiththePrincipalthroughouttheTerm:6.1DiligenceAtalltimestoworkdiligentlytop
